Call Center Independent Contractor Agreement 2026
AGREEMENT made this 25th day of August, 2026, between Vested Business Brokers Ltd., a New York corporation (hereinafter referred to as “VBB”) and {{CCRNAME}} (hereinafter referred to as “Contractor”).
IT IS MUTUALLY AGREED BETWEEN THE PARTIES AS FOLLOWS:
ARTICLE I - ENGAGEMENT OF CONTRACTOR
- ENGAGEMENT: VBB hereby engages Contractor, and Contractor accepts such engagement, on the terms and subject to the conditions set forth herein.
- TERM: The term of this engagement is “at will.” Either party may terminate the association provided for herein, upon written notice to the other, and neither party shall have any rights or remedies on account of any such termination, except as expressly provided for hereinafter.
- VBB RESPONSIBILITIES:
- VBB shall make available to Contractor, by appointment, access to its corporate offices, currently located at:

- VBB shall make available to Contractor via the Internet, the Call Center Training and the Confidential BrokerNet System, as defined herein. Contractor will have the ability to download the various VBB forms needed for call center purposes and VBB’s custom advertising social media platform and seller lead flow that will be originated by the VBB Call Center.
- Contractor shall be given an opportunity to attend meetings, conferences and/or seminars as VBB may from time-to-time conduct for the purposes of training, increasing sales and/or the on-going instruction in and familiarization with the Confidential VBB BrokerNet System, as it may be changed or modified from time-to-time.
- VBB has the right to modify and change the VBB system at any time.
- CONTRACTOR RESPONSIBILITIES:
Contractor agrees to exercise his/her best efforts to:
- Seek and obtain for VBB additional listings of business opportunities for sale.
- Present himself as an Independent Call Center Representative of VBB, otherwise advance the legitimate business interests of VBB, and observe the provisions of this agreement, including, but not limited to, preservation of the VBB confidential BrokerNet system and other proprietary information.
- Contractor agrees to conduct all Vested Business Brokers business and communications exclusively through the official Vested Business Brokers e-mail system when corresponding with Vested Buyers, prospective Sellers, active Sellers, and any parties formally affiliated with a prospective Seller, active Seller, Buyer or VBB Broker transaction. Contractor affirms that they have not copied, and will not copy, any Vested Business Brokers communications to any personal or non-Vested e-mail accounts. Contractor further agrees that they shall not receive, forward, copy, transmit, disclose, or otherwise disseminate any Vested Business Brokers information, communications, records, processes, procedures, training information or data to any person or entity not formally affiliated with a transaction pursuant to a valid listing agreement, buyer registration agreement, new seller packages, letter of intent, or other official Vested Business Brokers documentation. This shall include all of VBB’s social media platforms. All Vested Business Brokers communications, records, and data shall be accessed, transmitted, and maintained solely through Contractor’s assigned Vested Business Brokers e-mail account, and Contractor shall not use any personal or non-Vested e-mail system for any Vested Business Brokers business. Failure to comply is a legal violation of this agreement.
ARTICLE II - CONFIDENTIAL BUSINESS BROKERAGE SYSTEMS
It is understood that VBB employs confidential sales procedures and other methodologies of a business brokerage office in its daily business (herein referred to sometimes as the “VBB Confidential BrokerNet System”). VBB will educate and familiarize Contractor with the VBB Confidential BrokerNet System; and will, at Contractor’s request, from time to time, assist him/her through advice and on-going instruction to facilitate his securing listings and sales leads. While it is expected that the Contractor will perform his/her services hereunder in conformity with, and follow the Confidential System as set forth herein utilized by this office, it is specifically understood hereby, that the Contractor shall have complete control over the manner in which he/she shall perform said services, free of mandatory direction from VBB, and without limitation, shall perform said services only during such hours as he/she shall deem appropriate and convenient to him/her consistent with his/her obligations hereunder. All information obtained by the VBB Confidential BrokerNet System shall be kept confidential and shall not be disclosed to any other person(s) or parties without the express written consent of an authorized officer of VBB. The VBB brand name, logo, and trademark are the sole property of VBB and shall not be copied, reproduced, shared or modified without the express written consent of an authorized officer of VBB.
Contractor acknowledges, by signing this Agreement that he/she shall not disclose, to any person or entity, other than in the course of furthering the interests and business of VBB, any information disclosed or found on any and all of the VBB Confidential BrokerNet system, including but not limited to

Broker name, Broker address, Broker phone/cell number, Broker e-mail address, Broker businesses name, Broker business address, Broker business phone/cell phone number, Broker business information, Broker business information, Broker business information, Broker business information,
Call Center Broker name, Call Center Broker address, Call Center Broker phone/cell number, Call Center Broker e-mail address, Call Center Broker address, Call Center Broker phone/cell phone number, Call Center Broker business information,
VBB business model in its entirety, VBB educational information, VBB training programs, VBB processes, VBB procedures, VBB contacts. Access to all VBB conference calls and conference training calls. All VBB systems and conversations, All VBB usernames and passwords must be kept confidential.
Contractor shall not disclose his/her VBB password or username to anyone and is not aware of any VBB employee or Independent Contractor who has used any VBB confidential information (buyers or sellers) or any information pertaining to buyers or sellers for any use other than pertaining to VBB business. Contractor agrees to furnish to VBB, in writing, any unethical or illegal distribution of VBB information that he/she knows of. Contractor knows that if he/she breaches this Agreement he/she would be subject to the penalties under the law 18 U.S.C. §1832. The Economic Espionage Act of 1996 makes the theft or misappropriation of a trade secret a federal crime. It states:
- Whoever, with intent to convert a trade secret, that is related to or included in a product that is produced for or placed in interstate or foreign commerce to the economic benefit of anyone other than the owner thereof, and intending or knowing that the offense will injure any owner of that trade secret knowingly-
- Steals, or without authorization appropriates, takes, carries away or conceals or by fraud, artifice or deception obtains such information without authorization copies, duplicates, sketches, draws, photographs, downloads, uploads, alters, destroys, photocopies, replicates, transmits, delivers, sends, mails, communicates or conveys such information;
- receives, buys or possesses such information knowing the same to have been stolen or appropriated, obtained or converted without authorization;
- attempts to commit any offense described in paragraphs (1) through (3) OR
- conspires with one or more other persons to commit any offense described in paragraphs (1) through (3) and one or more of such persons do any act to effect the object of the conspiracy, shall, except as provided in subsection (b), be fined under this title or imprisoned not more than 10 years or both.
- Any organization that commits any offense described in The Economic Espionage Act of 1996 shall be fined not more than $5,000,000.00
ARTICLE III - CLIENT AGREEMENTS; CONTRACTOR’S AUTHORITY
- All client agreements shall be entered into on VBB Printed Forms, in the name of VBB, and shall remain the sole and exclusive property of VBB. Contractor shall have the right to procure and sign such client agreements solely on behalf of VBB as its duly appointed Independent Call Center Representative but must be counter-signed by a VBB manager within three (3) business days thereafter, to be binding upon VBB. In no event shall Contractor enter into a verbal agreement with any client. Each client agreement and Seller or Buyer lead obtained by Contractor shall be submitted to VBB within one (1) business day either in-person to the Executive Offices or by Vested e-mail, fax, telecopy or overnight mail and none shall be withheld by Contractor as “pocket listings or leads.” If Contractor, for any reason, does not turn in a VBB client listing agreement or seller or buyer lead procured within one (1) business day, this will constitute a breach of this Agreement and VBB can terminate Call Center Representative with no recourse to said Call Center Representative.
- Except as specifically provided in Paragraph A above with respect to client agreements, Contractor, as an Independent Contractor, has no authority to bind or commit VBB by any agreement, promise, or representation whatsoever. Contractor shall, in no event, without written permission from a manager of VBB, make any change to or amend any such client agreement or form or cancel or rescind same without VBB’s written permission to do so.
ARTICLE IV – COMMISSIONS/ INDEPENDENT CONTRACTORS
- The commission structure and fees charged by VBB for services rendered by VBB, including its Independent Contractors, in connection with the listing and/or sale of business opportunities and other services provided by VBB to its clients shall be solely determined by VBB.
- Contractor shall not enter into an agreement on behalf of VBB to charge a commission or fee that is more or less than that established by VBB.
- All earned commissions and fees shall be paid directly to VBB and not to Contractor, and when collected by VBB, shall be divided between VBB and Contractor and Broker in accordance with Contractor’s Commission Schedule. Any Independent Contractor that accepts a commission in his/her own name will be terminated by VBB without recourse to said Contractor.
- Contractor acting as a Call Center Representative shall be entitled to Sixteen-point Sixty Six Percent (16.666%) of any transaction commission realized by VBB, for being the call center representative who secured the listing of the business opportunity, with respect to any business sold, VBB shall have no responsibility or obligation to pay Contractor any fraction of commissions or fees due to VBB, unless and until such commissions or fees are actually collected by VBB. Contractor acting as a Listing broker procuring listings and being assigned buyers due to the procurement of the business listing will be entitled to the customary VBB commission structure.
- VBB Commissions may not be negotiated, increased, or reduced, by Contractor. While Contractor’s recommendations with respect to the disposition of any commission arrangement or dispute shall be given due consideration by VBB, Contractor shall in no event compromise, settle or resolve or agree to settle or resolve any dispute relating to a commission due, without the prior written approval of VBB.
- VBB shall have the right to modify or negotiate the Commissions charged or chargeable to Sellers and/or Buyers.
ARTICLE V - EXPENSES, LICENSES, DUES
- Contractor shall be responsible for paying all of his/her own out-of-pocket expenses in connection with the performance of his/her services pursuant to this Agreement.
- If Contractor is located within a State that requires persons offering business opportunities to have a real estate sales or other license, and Contractor does not have such license, then Contractor shall not deal in, or negotiate with respect to, any business opportunities requiring such license, unless and until the appropriate license has been obtained.
- Contractor shall be responsible for all costs involved in connection with his/her acquiring any licenses needed in order for him/her to be able to list and sell business opportunities by any federal or state regulatory agency and for any dues incurred by reason of his/her membership in any organization, professional or otherwise.
- Contractor agrees to purchase suitable communication devices (i.e., Cellular phone, fax machine, computer with basic e-mail capability) in order to maintain communication with the VBB network.
ARTICLE VI - INDEPENDENT CONTRACTOR
- The parties hereto agree and acknowledge that Contractor is not an employee of VBB, and that VBB is not the employer of Contractor. Contractor is performing service for the parties herein as their interests appear in the capacity of an Independent Contractor. In the event that Contractor should deny his/her Independent Contractor status, or VBB is required to answer allegations that Contractor is entitled to any benefits or protections as if Contractor were an employee of VBB, Contractor shall pay any and all costs, losses, damages, and expenses, including reasonable attorney’s fees, that VBB may incur as a consequence thereof.
- Contractor shall not be subject to any kind of control on the part of VBB with respect to methods of work or the days and hours spent performing his/her work. Contractor may take such vacations as he/she deems appropriate. Contractor shall give VBB at least two (2) weeks prior notice of any intended periods of vacation or other absence from service, so that VBB and Contractor may make appropriate arrangements for Contractor’s listings and Vested buyers to be covered for him/her by other contractors or Vested office staff while he/she is on vacation. Contractor shall be responsible to compensate such other contractors for coverage during Contractor’s absence. Contractor authorizes VBB to deduct such amounts payable to other contractors from commissions that may otherwise be due to Contractor.
- Contractor fully understands that because he/she is not an employee of VBB, no amounts of Federal, State, or other income taxes will be withheld from any commissions paid or payable.to him/her by VBB, and that VBB shall not be obligated to make any payments on Contractor’s behalf relating to disability, workmen’s compensation, hospitalization, unemployment insurance or any other similar charges. If there arise any payments that VBB may be required to make on behalf of Contractor, all such payments shall be paid by Contractor to VBB or deducted from the gross commissions due and payable to Contractor by VBB, and retained by VBB, at VBB’s discretion.
ARTICLE VII – AFFILIATE/CONTRACTOR FEES
- A. It is understood and agreed that Contractor is prohibited from recovery for any incidental or consequential damages irrespective of whether the damage is caused by VBB’s breach of this Agreement. There are no other warranties, express or implied and Contractor has relied on none.
- Contractor understands and acknowledges that this is NOT a franchise offering. This Agreement IS NOT intended to be a FDD (Franchise Disclosure Document). This Agreement is meant only to detail the terms associated with an Independent Call-Center Contractor relationship with VBB.
ARTICLE VIII - MINIMUM PERFORMANCE STANDARDS
Contractor is an Independent Call Center Contractor, free to perform his/her services for VBB as Contractor may deem fit with regard to working hours and working conditions.
ARTICLE IX – THE CALL CENTER (Opt-In)
Contractor hereby acknowledges that VBB facilitates an Outbound Call Center for Brokers at no upfront fee or cost to VBB brokers.
- Brokers can opt in and receive listing leads from Vested Call Center Independent Contractors- if a listing broker converts the lead to a listing he or she will receive 1/3 of 1 half of the commission of the listing commission side of the sale. A Call Center Contractor may also take a listing under the same terms of a VBB broker after fully completing the required live training.
- Broker who sells the listing to his or her registered buyer will receive 1/3 of one half of the commission of the successful purchase to his or her registered buyer. A Call Center Representative may also register a buyer under the same terms after fully completing the required live training.
- If a Call Center Independent Contractor procures a business listing the customary VBB commission structure will apply.
- Due to fact that the payout on the call center is 1/3 of one half of the listing side of the commission on a successful sale and are not in line with VBB’s customary commission structure, all Call Center Leads are identified with cc- followed by the number assigned to the Call Center Independent Contractor who generated the lead.
Example: Total Commission on the sale of a business (where the lead was generated by the Call Center) is $15,000:
$ 7,500 to the House (1/2 of total commission)
The other half is paid as follows:
$ 2,500 to the Listing Broker (1/3 of Broker half of the commission)
$ 2,500 to the Calling Broker (1/3 of Broker half of the commission)
$ 2,500 to the Buyer’s Broker (1/3 of Broker half of the commission)
In the example above, if the Listing Broker is also the Buyer’s Broker, the total payout to the Listing/Buyer’s Broker is $5,000 (2/3 of the total Broker commission).
- When a Broker opts in to the Call Center program, they agree that they must respond to the Call Center Representative to accept the lead within 24 hours. The Listing Broker will then have 7 days to convert the lead to a listing. The Listing Broker will keep the Call Center Representative apprised of the progress in securing the listing. If the Listing Broker is unable to convert the lead within 7 days, the lead will revert to the Call Center for redistribution to another broker. When the Listing Broker converts the lead to a listing, the Listing Broker will notify the Call Center Representative via email.
ARTICLE X - TERMINATION, ETC
- The engagement of Contractor by VBB hereunder shall terminate upon (i) death of Contractor;(ii) inability of Contractor to provide the services required hereunder for a period of more than one (1) month, unless waived by VBB; (iii) bankruptcy or dissolution of the business of VBB; (iv) written notice by either party to the other, with or without good cause. “Good cause” for purposes hereof shall mean a prior breach of this Agreement, or notorious disreputable conduct impacting on the ability of the party to fulfill its responsibilities hereunder.
- Upon any termination of this Agreement, by reason of death, inability to provide service, written notice of VBB, without good cause, Contractor shall cease to have any claim or interest in any commissions earned or collected by VBB or that may subsequently be earned or collected by VBB with respect to any of VBB’s listings or sales except that Contractor shall be entitled to receive his/her pro-rata share of commissions due him/her for any “signed-up” transactions completed prior to termination. The term “signed up” transactions, as used herein, shall refer to those transactions for which an executed Letter of Intent between Buyer and Seller has been procured by Contractor, or otherwise as to a listing procured by Contractor, prior to termination by VBB, provided VBB actually receives the commission due on such transaction.
- Upon any other termination of this Agreement, Contractor shall cease to have any claim or interest in any commissions earned or collected or that may subsequently be earned or collected with respect to any of VBB’s listings or sales.
- D. Upon any termination of this Agreement, VBB shall continue to be the sole and exclusive owner of all listings, whether or not Contractor or other parties procured such listing and listing leads for VBB, and Contractor shall have no claim to said listings whatsoever. For a period of five (5) years after any termination under this Agreement, Contractor shall not disclose such listings to any person.
- Contractor agrees and acknowledges that all listings, correspondence, forms, and documents utilized by Contractor and VBB in connection with the day-to-day conduct of its business are the sole and exclusive property of VBB. Contractor may not use, remove, duplicate, copy or otherwise violate VBB’s proprietary interests therein. Contractor hereby expressly waives and relinquishes forever any rights, title, or interest that Contractor may at any time have had thereto, and Contractor hereby irrevocably assigns to VBB any and all interest that the Contractor claims in such items.
- Contractor shall respect and protect the confidentiality of the Confidential System and shall exercise his/her best efforts to protect the integrity of the Confidential System from abuse by third parties.
- Contractor agrees that, upon termination of this Agreement, Contractor will not conduct any brokerage business with any current or former Contractor or employee associated with VBB, without the express written consent of VBB, for a period of three (3) years following the date of such termination, and that, in the event of Contractor's breach of this provision, in addition to VBB being entitled to injunctive relief restraining such breach or continuing breach, VBB shall be entitled to all commissions and compensation received by Contractor from such sources and such other damages, compensatory and punitive, as may be found due and proper.
- The Contractor understands and acknowledges that VBB has invested substantial funds and other resources in the Confidential Call Center System and confidential BrokerNet System and prospective business dealings of Contractor, and that VBB will continue to invest such funds and resources, both directly and indirectly in support of its Independent Contractor System. Subsequently, in the event Contractor voluntarily leaves this association with VBB, Contractor agrees not to act as a Business Broker or Call Center Representative in any geographical market where Contractor acted for VBB for a period of not less than twelve (12) months thereafter. Provided, however, that if Contractor violates the provisions of sub-provisions D, E, or F of this Article VIII, then the twelve (12) months period shall only commence to run when such violations have been cured and corrected. If the Contractor leaves to become a Business Broker with any competitor to VBB, or to be a self-employed broker competing with VBB, and in any way intervenes in any of the VBB listings, such action may result in monetary damages to VBB, and Contractor acknowledges that he/she will be responsible for such monetary damages.
- The parties acknowledge any violation of the Confidential System, including with respect to sub- provisions D, E, F, and G of this Article VIII, may cause irreparable harm to VBB. Therefore, while it is impossible to ascertain or estimate the entire cost, damage or injury to VBB resulting from any such breach, it is agreed hereby that upon any such breach, VBB shall be entitled to such legal and equitable relief as may be available to it, including injunctive relief. Contractor waives the posting of any bond that may otherwise be required for the grant of injunctive relief.
- In the event of a dispute with VBB the Call Center Independent Contractor agrees that any recovery of any damages of any sort cannot exceed the amount the contractor has paid to VBB in the calendar year of which they terminated the relationship.
ARTICLE XI - DEPOSITS
No earnest money deposits may be received by Contractor other than by checks made payable to: “Vested Business Brokers Ltd.” Contractor is prohibited from accepting any payment not payable to VBB. Contractor shall promptly turn over to VBB such earnest money deposit.
ARTICLE XII - HOLD HARMLESS
VBB Call Center Independent Contractor agrees to hold VBB harmless from and against any losses, costs, lawsuits, damages, actions and expenses, including reasonable attorney’s fees and costs that may arise by reason of the violation by Call Center Independent Contractor of any provision of this Agreement.
ARTICLE XIII - THIRD PARTY LITIGATION AND CONTROVERSIES
In the event that any client, former client, or other third party institutes any action or proceeding against VBB, in any Federal or State Court, or before any other adjudicative body, and Contractor is named as a party therein, or VBB seeks to file a claim, cause of action, or proceeding against any party with whom Contractor had dealings individually, Contractor hereby designates VBB as his/her attorney-in-fact for the purposes of all such proceedings, except as hereinafter indicated. Should VBB determine that substantive allegations have been made or are being made that Contractor violated his/her responsibilities in accordance with this Agreement, or exceeded his/her authority under this Agreement, VBB shall so notify Contractor, and Contractor’s designation of VBB, as his/her attorney-in-fact, shall immediately terminate.
With respect to all matters in which VBB is acting as Contractor’s attorney-in-fact, VBB is hereby authorized to employ legal counsel and/or other such professional and administrative aids for the purpose of accomplishing any of the above; to resolve and/or settle and to negotiate such matters in such manner as VBB deems to be the most expedient and beneficial to the parties involved. VBB shall keep Contractor advised on the status of any such action or proceeding. Contractor shall give VBB his/her full cooperation and assistance with respect to any of the matters addressed in the Article VI, and all expenses, costs, refunds, advances or settlements with respect to any such claim, action or proceeding, whether or not Contractor shall have been named a party or defendant thereto, shall be shared between Contractor and VBB in the same proportion as they would normally share the commissions due from such transactions absent any disputes or litigation.
The decision of VBB as to whether or not any litigation or dispute shall be prosecuted, defended, compromised, or otherwise settled shall be at the sole discretion of VBB. However, no compromise or settlement involving payment of money by Contractor to any third party may be agreed to by VBB, without the Contractor’s express written approval.
In addition, any action or dispute between the Contractor and VBB, including issues of arbitrability, shall, at the option of either party, be determined by arbitration administered by Arbitration Services, Inc., under its Commercial Arbitration Rules, www.arbitr8ors.com
ARTICLE XIV - AUTOMOBILE
Contractor may furnish his/her own automobile, or other such transportation, and shall pay all expenses in connection therewith. Contractor shall carry, with respect to any vehicle used by him/her in the course of his performance of his/her services hereunder, public liability insurance with the minimum limits of $1,000,000 single event coverage. VBB shall not have any liability whatsoever for Contractor’s use and operation of his/her own automobile or other vehicle.
ARTICLE XV - ARBITRATION
The parties hereto agree that, in the event of any dispute between Contractor and VBB, or among Contractor and other independent contractors utilized by VBB, arising of or connected with this Agreement, or arising out of any other transaction relating to the earning and/or payment of commissions, or arising out of any listing, which cannot be resolved by the parties in accordance with the terms of this Agreement, such disputes shall be submitted for arbitration and judgment upon the award rendered, if any, may be entered in any court of competent jurisdiction. The parties hereto hereby waive any appeal from the decision of the arbitrator. Each party may be represented by legal counsel of his/her own choosing in any such proceeding, the fees for which shall be each party’s individual responsibility. The arbitrator may not vary the terms of this Agreement. The arbitrator may not award punitive damages, or damages that exceed the amount of actual compensatory losses suffered by the claiming party, after providing for due mitigation of any and all such losses. The arbitrator may be chosen by respective counsel for the parties, but in the event of an inability to agree, the arbitration shall proceed before Arbitration Services, Inc., under its Commercial Arbitration Rules, www.arbitr8ors.com, at the hearing offices of the Association nearest to the Executive Offices of VBB, where they are then located.
ARTICLE XVI - MISCELLANEOUS
- All notices to be given pursuant to this Agreement shall be in writing and shall be deemed to be effective upon personal service or upon depositing the same into the mails by certified mail, return receipt, addressed to the address set forth below or to other such addresses as shall be designated in writing for the parties from time-to-time:

- This Agreement shall be construed to be governed by the laws of the State of New York, without reference to its conflicts of law’s provisions.
- Contractor’s obligations and rights hereunder cannot be assigned or assumed, and any such purported assignment or assumption shall be null and void.
- In the event that either party hereto shall choose not to enforce any of the terms and provisions of this Agreement for any reason, such election, whether actively or passively made, shall not be construed to be a waiver of that particular term or provision nor shall it serve to constitute a waiver of the right of said party to enforce subject term or provision thereafter.
- The use of the pronouns “he,” “him,” or “his,” shall be deemed to read “she,” “her,” or “hers,” when the Contractor referred to is female. Throughout this entire Agreement the terms “Contractor,” “Independent Contractor,” and “Broker,” is to be deemed interchangeable.
ARTICLE XVII – CONTRACTOR’S SUCCESS
- The success of each Contractor depends on his/her background, dedication, desire, motivation, effort, marketing and business acumen and interpersonal skills. As with any business endeavor, there is an inherent risk of loss of capital and there is no guarantee that Contractor will earn money. VBB does not verify or guarantee the success or the suitability of Contractor as a Call Center Representative. ARTICLE XVIII - ENTIRE AGREEMENT
- This Agreement constitutes the entire agreement between the parties hereto and supersedes and terminates any and all prior agreements, understandings, or arrangements, whether written or oral, which may have been entered into between the parties prior to their execution of this Agreement.
- The terms of this agreement may be changed by VBB upon prior notice to Contractor at any time after one year from the date hereof.
- If any provision of this Agreement is subsequently found to be invalid or unenforceable by anybody of competent jurisdiction, the other provisions hereof shall remain in full force and effect and be unaffected thereby. Further, the parties hereto agree that the terms and provisions of this Agreement shall be liberally construed in order to effectuate the purposes and intentions hereof.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the day and year first above written. This Agreement may be executed in counterparts and each counterpart shall be deemed to be an original.
